  • Advised JPMorgan Asian Infrastructure & Related Resources Opportunity Fund in its disposition of 83% of Goldtrust Water Investment (Shenzhen) Co. Ltd., a company engaged in developing, constructing and managing water and wastewater treatment facilities in China.
  • Advised WH Group Limited (the owner of Smithfield Foods) in relation to its US$2.36 billion international offering and the listing of its shares on the Main Board of the Hong Kong Stock Exchange (“HKEx”).
  • Advised China Vanke, a leading residential real estate developer in China, in its US$2.1 billion conversion of its B-shares into H-shares and listing of its H-shares on the Main Board of the Hong Kong Stock Exchange. This transaction was awarded “Deal of the Year 2014” by China Business Law Journal.
  • Advised Rongsheng Heavy Industries Group Holdings Limited in relation to its US$1.8 billion international offering and the listing of its shares on the Main Board of the HKEx.
  • Advised Sino-Ocean Land Holdings Limited (one of the top Chinese property developers) as the guarantor in relation to the issuances by its wholly- owned subsidiaries of US$500 million 4.625% guaranteed notes due 2019, US$700 million 6.0% guaranteed notes due 2024, US$700 million 4.45% guaranteed notes due 2020 and US$500 million 5.95% guaranteed notes due 2027.
  • Advised Credit Suisse and RBS in relation to China Power International Development’s RMB982 million international offering of RMB-denominated, U.S. dollar-settled, convertible bonds.
  • Advised Morgan Stanley, BNP Paribas, CICC, Standard Chartered, HSBC and CCBI in relation to the US$400 million international offering and listing on the Main Board of the HKEx of the shares of Chinalco Mining Corporation International, a subsidiary of the Aluminum Corporation of China (the world’s second largest alumina producer).
  • Advised UBS, Merrill Lynch, DBS, ICBC and Macquarie in relation to the international offering of US$400 million 5.125% notes due 2019 by China Overseas Grand Oceans Finance II as guaranteed by China Overseas Grand Oceans Group Ltd.
  • Advised Mingfa Group, a leading PRC commercial real estate developer, in relation to its international offering of US$100 million 13.25% senior notes due 2018.
  • Advised Goldman Sachs, JP Morgan and UBS in relation to the US$326 million top-up placement of shares in Ayala Land, Inc., a leading Philippines real estate developer.
  • Advised Future Land Holdings, a leading PRC real estate developer, in relation to its international offering of US$200 million 10.25% notes due 2018.
  • Advised China SCE Properties, a leading Fujian-based PRC real estate developer, in relation to its international offering of US$350 million 11.5% notes due 2017.
  • Advised Yuzhou Properties Company Limited, a leading Fujian-based PRC property developer, in relation to its international offering of US$250 million 11.75% notes due 2017.
  • Advised China SCE Property Holdings Limited in relation to its international offering of five-year RMB2billion Singapore-listed synthetic offshore RMB bonds.
  • Advised Goldman Sachs and Deutsche Bank in relation to the US$336 million international offering and listing on the Main Board of the HKEx of shares of Sunac China Holdings, Ltd., a leading Tianjin-based real estate developer.
  • Advised Citigroup, UBS and CIMB in relation to the US$214 million international offering and listing on the Main Board of the HKEx of the shares of Fu Shou Yuan International Group Limited (a leading provider of funeral and burial services in China).
  • Advised HSBC, Macquarie, and Nomura in relation to the US$200 million international offering and listing on the Main Board of the HKEx of the shares of Top Spring International Holdings Limited, a leading Shenzhen-based property developer.
  • Advised CITIC Securities and CLSA Limited as the underwriters in the US$331 million global offering and IPO of the H-shares of Poly Culture Group (a leading Chinese art auction and cinema management company) on the Main Board of the HKEx.
  • Advised Morgan Stanley as placing agent in the US$214 million sell down of shares in Zhongsheng Group Holdings Ltd., one of the leading national automobile dealership groups in China.
