Overview

Theo Smith is a member of the firm's Corporate section with extensive experience in business law and corporate law. Mr. Smith's corporate practice specializes in mergers and acquisitions, drafting and reviewing business contracts, forming business entities, corporate finance, public securities law, private securities offerings, and corporate governance issues such as shareholder meetings and business management.

Mr. Smith is also a member of the firm's International section as an expert on ITAR export compliance and international trade controls. His international trade practice specializes in ITAR registration, DDTC export licenses, consent agreements and voluntary disclosures, and contracts and licensing agreements for defense articles, technical data, and services that have military application.

Mr. Smith also advises clients on antitrust issues arising from the Hart-Scott-Rodino Act during mergers and acquisitions. He has filed the HSR Premerger Notification and Report Form and successfully argued for clients’ antitrust regulatory approval before both the DOJ and FTC for clients in deals approaching $300 million in value.

Mr. Smith currently serves on the Board of Governors of the Utah Aerospace & Defense Association. He speaks Mandarin and has lived in Beijing and Taipei.
